Terms of Service

1. Acceptance of Terms

By accessing or using IAM ("the Platform"), available at iam.ng, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and IAM.

2. Description of Service

IAM is a digital identity platform that enables users to:

• Create permanent, public identity pages accessible via a unique URL (iam.ng/username)
• Aggregate and display social media links, contact information, and biographical content
• Sell digital and physical products through integrated commerce tools
• Engage visitors through an AI-powered personal assistant
• Collect and manage leads through a built-in CRM system
• Access analytics about page visitors and audience engagement

3. Account Registration & Usernames

When creating an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Promptly notify us of any unauthorized access or security breach

Usernames are permanent once claimed and cannot be transferred, sold, or reassigned except by administrative action. Premium usernames may be subject to additional terms, pricing tiers, and approval processes. IAM reserves the right to reclaim, reassign, or restrict any username at its discretion, particularly those that infringe trademarks, impersonate individuals or organizations, or violate these Terms.

4. Acceptable Use Policy

You agree not to use the Platform to:

• Impersonate any person, entity, or organization
• Post, upload, or distribute content that is defamatory, obscene, fraudulent, or harmful
• Engage in spam, phishing, or any form of unsolicited communication
• Attempt to gain unauthorized access to other users' accounts or Platform systems
• Use the Platform for any illegal activity or in violation of applicable Nigerian or international law
• Distribute malware, viruses, or any other harmful software through your identity page
• Engage in any activity that disrupts or interferes with the Platform's operation
• Scrape, harvest, or collect user data without authorization
• Use the commerce features to sell prohibited items including but not limited to weapons, drugs, counterfeit goods, or stolen property

5. Content Ownership & License

You retain full ownership of all content you create and publish on the Platform, including text, images, links, product listings, and knowledge base entries. By posting content, you grant IAM a worldwide, non-exclusive, royalty-free license to display, reproduce, and distribute your content solely for the purpose of operating and promoting the Platform.

IAM does not claim ownership over any user-generated content. You may remove your content at any time, which will terminate the license granted above, subject to reasonable caching and archival periods.

6. Commerce & Transactions

Sellers using IAM's commerce features agree to:

• Accurately describe products and services offered for sale
• Fulfill orders in a timely manner and in accordance with their listings
• Comply with all applicable consumer protection and e-commerce regulations
• Handle buyer disputes and refunds in good faith

IAM facilitates transactions through third-party payment processors (e.g., Paystack). IAM is not a party to any transaction between buyers and sellers and is not responsible for the quality, safety, legality, or delivery of products or services. All payments are processed in Nigerian Naira (₦).

7. Premium Services (IAM Pro)

IAM offers premium subscription services under the "IAM Pro" tier. By subscribing, you agree that:

• Subscription fees are billed at ₦10,000/month or ₦100,000/year
• Subscriptions automatically renew unless cancelled before the renewal date
• Premium features will be revoked upon subscription expiry or cancellation
• Refunds are generally not provided for partial subscription periods
• IAM reserves the right to modify premium pricing and features with reasonable notice

8. AI Assistant

IAM provides AI-powered personal assistants on identity pages. You acknowledge that:

• AI responses are generated based on your knowledge base content and may not always be accurate
• You are responsible for the accuracy of information in your knowledge base
• AI conversations are stored and visible to the identity page owner
• IAM is not liable for any decisions made based on AI-generated responses

9. Account Suspension & Termination

IAM reserves the right to suspend, restrict, or terminate your account at any time if you:

• Violate these Terms or any applicable laws
• Engage in impersonation or fraudulent activity
• Receive multiple verified reports of abuse
• Use the Platform in a manner that threatens its integrity or other users' safety

Account suspension may result in temporary or permanent loss of access to your identity page, content, and associated data. IAM will make reasonable efforts to notify you before or at the time of suspension, except in cases requiring immediate action.

10. Referral & Affiliate Program

IAM may offer referral and affiliate programs subject to separate program terms. Earnings from such programs are subject to verification, and IAM reserves the right to void earnings obtained through fraudulent or manipulative means.

11. Limitation of Liability

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the maximum extent permitted by law, IAM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless IAM, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023.

14. Modifications to Terms

IAM reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to any changes, you should discontinue use of the Platform.
